• Bonnie welcomed everyone in person and made opening remarks.

• Monica Menzel presented minutes from April. • Heather Herndon-Wright made motion to accept, Don McKneely seconded. Motion carried.

Financials

• Revenue of $317k vs budget of $175K – Bonus has been booked – driving most of favorable variance • Expenses are $338.7k vs budget of $375.2. • No Changes to current forecast • Ashley Duffie made a motion to accept financials, Pam Nelson seconded. Motion carried.

Certification

• Rob Simpson presented certifications • 9 New Certifications, 50 Recertified • Heather Herndon-Wright made motion to accept. Yareli Esteban seconded. Motion carried

Nominating Committee • Monica Menzel presented Kent McNorton’s board resignation and proposal for successor Monica Trevino Schoenemann. Rob Simpson made a motion to accept Ms. Schoenemann as Kent

McNorton’s successor for Austin Commercial through his remaining term ending in 2023. Joe Adam’s seconded the motion. Consent Agreement

2022 Council President’s Report

Margo covered items in the board book President’s Report including: • Council Activities • MBDA Report • CRR • NMSDC Margo reported out on ACCESS • General Success • One on Ones were not as successful as in the past • Discussion ensued as to the proper process to follow for one on ones and the need for our board members to better understand the process • Yareli suggested one on one’s year round. Pam suggested one on one’s in June meeting however the timing would be too tight • Luncheon attendance was very good Upcoming events: • Top Golf • Quarterly Supply Chain Luncheon and Board Meeting – moved to June 28th

2022 Program of Work 1. The next Quarterly Luncheon details were discussed and firmed up. The date is set for June 28th. Flyer has been sent out for registration. So far 60+ registrations with 50% buyers and 50% others. The speakers have been confirmed, Volunteers listed. 2. The QSCPL on September 28th will cover Environmental, Sustainability and Governance as the topic. The speakers are being finalized. 3. Potential topics for December 7th quarterly luncheon discussed. The topic will be firmed up during future meetings.

THE PURPOSE To provide a rich learning experience for minority suppliers that results in enhanced and impactful engagement with mentor buying corporations leading to business growth in any industry. This program isn't a commitment or guarantee of business with an organization, but it also does not exclude you from the opportunity. It is open to certified DFW MSDC MBEs or subscribers.

METRICS WORKING GROUP 06-13-22 The Metrics Working Group wants to better understand the types of data collected, KPIs tracked and metrics examined by buying entities currently as a part of their supplier diversity program. This will allow the Metrics Working Group to suggest DFW MSDC metrics without creating more work or new systems by buying entities in order to collect and submit responses to DFW MSDC metrics tracking.
